lawsuits IF APPROPRIATE.

As you know, Proskauer Rose declined to defend certain defendants.

brought against directors and officers for acts taken in their
official capacity.

The insurance company only defends. If does not file lawsuits,
investigate or do anything else not related to defense.

The Internet law firm in San Francisco was hired to determine the
validity of the Mottershead Report and if valid or not to proceed
accordingly. I am surprised at how high the bill is, about $25,000.
However, I must point out that for months before the Mottershead
Report came out, it was obvious to most of the board members who the
FSS was, yet the board majority refused to take any action. Had it
taken appropriate action then, it might not have been necessary to
bear the high legal expenses now.
