I post these in case I need them in Turin. However, perhaps Sam Sloan
can learn a little about how FIDE really works. He keeps on losing
elections, and never gets to LEARN anything from being IN office.
LEARN, Sam. I hate to admit, before you die, you might really win, and
you are going to hurt everyone becasue you don't know WHAT YOU ARE
TALKING ABOUT.

It's sad. Sloan has been posting and talking about chess for years, and
all we hear about is what he did before the Supreme Court almost 30
yearsa go. Old news.

By Laws or Statues of Charleston Chess Association, LLC

The original bylaws of the National Chess Association for Saint
Christopher and Nevis applying for admission to FIDE. Organizational
meeting held on December 12, 2005 on Saint Kitts, West Indies at the
Marriott Hotel. Registered as Limited Liability Company on January 31,
2006.

PURPOSE

The Charleston Chess Association is the National Chess Association of
Saint Christopher and Nevis. The purpose of the Charleston Chess
Association is to organize and hold the St Kitts and Nevis national
championship, to award at the national championship the titles of Life
National Senior Master, Life National Master, and Life National Expert,
to sponsor national rated and / or FIDE rated chess events, to send
players to foreign FIDE rated events, to participate and vote in FIDE
governance, to implement a national rating system and to promote the
image of Chess. The Charleston Chess Association is governed by life
members with strong ties to Saint Christopher and Nevis and is
committed to sovereignty in its national chess association and non
interference in the affairs of other national chess associations. The
Charleston Chess Association is committed to worldwide chess!

ARTICLE I: MEMBERSHIP TYPES / VOTING RIGHTS

Life membership shall be eligible to any person upon the payment of
2,500 Eastern Caribbean Dollars.

Regular Membership shall be eligible to all people 18 or over upon the
payment of 50 Eastern Caribbean Dollars annually.

Scholastic Membership shall be eligible to all people under 18 years of
age on payment of 25 Eastern Caribbean Dollars annually.

Honorary Membership shall be conferred by the Board of Directors to
outstanding contributors to Chess. Any honorary member may serve (if so
appointed by the Board of Directors) as a Counselor in the General
Assembly, however, no honorary member may vote unless St Kitts and
Nevis has no other delegate or counselor present at any FIDE General
Assembly meeting.

The right to vote in elections shall be vested in Life members who are
18 years of age and meet any of the below requirements:
1. Citizens of Saint Christopher and Nevis.
2. People who have - in good faith - applied for economic citizenship,
paid all required deposits, and successfully completed all government
required tests
3. Aliens who have resided lawfully on St Kitts or Nevis for the last 5
years.
4. Founding members who originally formed the Charleston Chess
Association, LLC, which do not exceed 20 in number.
5. Delegates at Large, who are outstanding contributors to Chess,
approved by 2/3 of the general membership and voting membership.
However, there shall be no more than 20 living Founding members and
Delegates at Large at one time.

Any member may vote by applying, in writing, to the Secretary at the
legal office of the registered agent. Any application to register to
vote shall be effective 90 days after receipt of the application by the
registered agent.

ARTICLE II: VOTING MEMBERS' MEMBERSHIP MEETINGS

Every year beginning in 2005 there shall be a general voting membership
meeting for the purpose of electing officers specified in Article III.
Special membership meetings may be called by the President, the Board
of Directors, or 51% of the voting members, for any reason. Only voting
members are eligible to vote at elections at membership meetings, which
must be public unless a majority of voting members votes to close the
session to the public. No proxy shall be more than 24 months old to
shall be valid at any election. Any special meeting must provide 60
days written notice to all members at their last known mailing address.
Voting membership meetings shall be presided over by the President and
Roberts' Rules of Order. No notice shall be required when 100% of the
voting members consent to meet without notice. 51% of the voting
members constitute a quorum. No voting rights shall be assignable or
inheritable in the event of death, or mental incompetence declared by a
court of law, and voting rights can only be held by natural people.

ARTICLE III: OFFICERS AND BOARD OF DIRECTORS

The principal officers of the corporation and terms of office shall be

Executive Director - manages day to day affairs of organization - 1
year

President - responsible for presiding over meetings - may pardon an
expelled member - 2 years

Vice President - assigned duties by the President - 2 years (shall
become President upon Death or resignation of President)

Treasurer - responsible for finance - 1 year

Secretary - responsible for membership lists and minutes - 1 year.

FIDE Delegate - represents St Kitts and Nevis to FIDE - 4 years.

FIDE Counselor and/or National Champion (2 seats) - represents St
Kitts and Nevis to FIDE - 1 year.

Registered Agent - perpetual term - must be an attorney at law or
law firm

The above officers, except the registered agent, shall compose the
Board of Directors, which shall have the final authority to make all
decisions for the Charleston Chess Association. The Board of Directors
may vest its powers into an Executive Committee, by majority
resolution. 51% of the board of directors constitutes a quorum.

ARTICLE IV: RECALL

All of the officers, except the Registered Agent, may be recalled by
2/3 of the voting members, 2/3 of the Board of Directors, with cause in
any general or special meeting called for such purpose. Any officer may
be called without cause with the 9/10 of the voting members. The
Registered Agent may be changed only as allowed by law.

ARTICLE V: RULEBOK

ARTICLE VI: NATIONAL TITLES / NATIONAL CHAMPIONSHIP

In any tie, all players receive the title, regardless of the tiebreak
system. In any tie, the word co-champion shall be used instead of
champion.

The first place winner or winners of the national championship shall be
awarded the title of Life National Master. A tiebreak system shall be
used at the sole discretion of the tournament director for the position
of Senior Counselor to FIDE (see Article IX). The second place winner
from St Kitts shall be awarded the title of Life St Kitts Master or
Life Island Master. The second place winner from Nevis shall be awarded
the title of Life Nevis Master or Life Island Master. The third place
or fourth place winner (as the case may be) shall receive the title of
Life National Expert; however, the title of Expert will not be awarded
to any master. In the event a player wins the same title three times in
his or her life, the words "senior" shall be added to the title
(but erased if the player wins a higher title.) The highest scoring
scholastic player (18 or under) at the national championship shall be
awarded the title of National Scholastic Champion any addition to any
other titles award above. The Board of Directors shall be responsible
for development of the rating system, which may afford titles on the
basis of rating. However, rating based titles are not lifetime titles.
The national championship shall be held at a location determined by the
Board of Directors. No title shall be earned for life in any other
tournament but the national championship. No title based on rating
shall be valid in the event a player becomes inactive for more than 2
years. The Board of Directors has the power to stipulate the minimum
number of rated games to be active.

ARTICLE VII: NON DISCRIMINATION

No person shall be denied membership or be discriminated against on
account of national origin, political views, race, social background,
religion, or gender.

ARTICLE VIII: AMENDMENT

These by-laws may be amended by 2/3 of the voting membership and 2/3 of
the general membership, and 2/3 of the Board of Directors.

ARTICLE IX: FIDE DELEGATE VOTING RULES

No voting member shall be denied participation as a FIDE Delegate or
Counselor when the seat is unfilled. A voting member desiring to fill
vacant seat must notify the Secretary by December 31 for representation
for the following year. No election shall be required for a voting
member to take an unfilled FIDE seat. In the case of more than one
representative present at the annual General Assembly, the nation's
vote shall be determined by majority of the representatives present,
with the Delegate breaking any ties between the Delegate and
Counselors. The National Champion has an absolute right, if 18 years of
age or old, to be a Counselor to the FIDE Delegation if he or she has
the funds to attend the meeting. In the case of the National Champion
desiring to be a Counselor and having the funds, any application to the
Secretary made by December 31 shall supersede the results of any
election for the position of Senior Counselor. The Permanent Delegate
has a right to remove any honorary Counselor with or without cause at
any time; however, the Permanent Delegate lacks the authority to remove
any voting member or national champion during the session of the
General Assembly. No vote by proxy shall be valid for Saint Christopher
given to any third party nation if any Delegate or Counselor appears at
any general assembly meeting. Valid proxies for St Kitts and Nevis must
be signed by ALL members of the mission to FIDE (all Delegates and
Counselors to be valid.) No Delegate or Counselor may give a valid
individual proxy; the only valid proxy is an entire nation proxy.

ARTICLE X: EXPLUSION / DICIPLINE

A member may be expelled or punished by 2/3 of the Board of Directors
for good cause. An expelled member may not participate in activities of
the Charleston Chess Association, and all of the national titles of an
expelled member are suspended during the expulsion. A member may be
expelled for a definite period of time, or for life. Examples of
offenses warranting expulsions are commission and conviction of said
felony in a court of law of a felony directly involving a chess
tournament (i.e. selling illegal drugs during a chess tournament),
conviction of assault on a chess tournament director during a chess
tournament, repeated disruption of a chess tournament after repeated
warnings.) A member may be punished for lesser offenses, such as
cheating during a chess game. Examples of punishments are fines or
suspensions from play, or forfeiture of national titles. (While the
Board of Directors may, by 2/3 vote, expel or punish, the member shall
have a right to appeal to the voting members at the next annual
meeting. Any expulsion may be challenged in a court of law, and if such
legal challenge is filed, no punishment shall take effect until the
voting members hear the appeal and the court of law allows the
punishment to proceed.) The President has the power to pardon a member
than has been expelled or punished, and this pardon may be conditional
or unconditional. No pardon shall be reversed for any reason.

ARTICLE X1: REGISTERED AGENT / PRIVACY RIGHTS

Any member of the Charleston Chess Association has a right to insect
the membership roles, the minutes, or any financial documents as
required by law, at the registered agent's office, within 60 days of
a written request. However, no information shall be given out about
members (other than Name and Rating) unless written permission is filed
with the Secretary, as required by law.

ARTICLE XII: DISPUTES

Any member of the Charleston Chess Association has a right to file suit
in a court of law challenging any action of the Charleston Chess
Federation as the national chess Federation in FIDE. All disputes
concerning the Charleston Chess Federation and its relationship with
FIDE shall be settled in the courts of Saint Kitts and Nevis. No
foreign court shall be involved with disputes concerning voting status
in FIDE.

ARTICLE XIII: INDEMIFICATION

The Board of Directors may indemnify any officer or director of the
Charleston Chess Association for actions, in good faith, that result in
civil litigation.

ARTICLE XIV: GENERAL MEMBERSHIP MEETING

Upon call of the President, the Board of Directors, petition of 10% of
the general or voting members of the Charleston Chess Association, a
general membership meeting must be called at the next voting membership
meeting. The membership shall elect a chair, and by majority vote, may
introduce any proposal such as by-law amendments, dues changes, or
elections procedures changes. A quorum of 51% of the membership, or
their proxy vote, must be present to constitute a quorum. The Board of
Directors shall be required to consider the proposal and report back to
the membership, in writing, within 1 year of said meeting if any
proposals are approved by majority vote.

ARTICE XV: VOTING TIES

In any meeting of the Executive Committee, the Board of Directors, the
Voting members, or the General Membership, in case of a tie vote, the
vote of the President or person acting as president shall break all
ties. In any meeting of the General Membership, the chairman shall
break all ties. In FIDE, the Permanent Delegate shall break all ties
for the national vote, and no proxy for an individual who is on the
FIDE Delegation or national proxy shall be valid in FIDE when any
official member of the national delegation to cast the nation's vote.
St Kitts and Nevis reserves the absolute right to vote via a
representative or representatives actually present per the FIDE
statues.

ARTICLE XVI: SUCCESSION OF OFFICE IN DEATH OR RESIGNATION

In the event of the death, resignation, or removal of the President,
the Vice President shall succeed the office of President. In the event
of the death or resignation or removal of any other officer, or of both
the President and Vice President, the Board of Directors shall appoint
a successor. In the event no quorum of the Board of Directors can be
met within 90 days, the voting members shall elect a replacement or
replacements. In the event that that no quorum of the voting members
can be formed within 180 days, the General Membership has the right to
act as a single voting member voting with the remaining voting members
and quorum shall be 1 voting member. Such extraordinary meeting shall
require written notification to all members and a minimum of 60 days
notice.

ARTICLE XVII FIDE RESPONSIBILITES

Per section 2.4 of the FIDE handbook, the National Chess Association
Charleston Chess Association, acknowledges and agrees to observe all
statues, regulations, resolutions, and decisions of FIDE. Further, the
Charleston chess association agrees to timely pay fees fixed by the
General Assembly and support FIDE actively in chess activities.

ARTICLE XVIII NEVIS SUCCESSION

As stated in the constitution of St Kitts and Nevis, Nevis has a right
to succeed at any time to form its own chess association, with 2/3 vote
from the members from the island of Nevis, per its original application
for membership with Saint Christopher for FIDE admission, as outlined
in the letter of understanding with FI
